These Terms apply to the public Selective Pay website. They do not replace the signed agreements, disclosures and provider terms that apply to a merchant account, gateway, equipment, referral relationship or other payment service.
1. Acceptance of these terms
By accessing or using this website, you agree to these Terms of Use. If you do not agree, do not use the website. Additional written agreements apply to merchant applications, payment-processing services, gateways, equipment, software, referrals and other services.
2. Website information
The website provides general information about payment processing, merchant services, technology, integrations, pricing structures, industries and Selective Pay’s capabilities. Website content is not legal, tax, accounting, compliance, investment or financial advice.
Payment rules, network requirements, underwriting standards, product availability, pricing, equipment, integrations and legal requirements can change. We may revise website content without notice.
3. No guarantee of approval, savings or results
Submitting information or requesting a review does not guarantee merchant-account approval, a specific rate, savings, funding timing, integration availability, equipment compatibility or any other result. Any estimate or analysis depends on the completeness and accuracy of the information provided and remains subject to underwriting, card-network rules, processor capabilities and final written agreements.
4. Applications and service agreements
Merchant services may require applications, financial information, beneficial-owner information, credit or risk review, website review and approval by an acquiring bank, sponsor bank, processor, gateway or another provider. The applicable signed agreement controls if it conflicts with this website.
5. Acceptable use
You may use the website only for lawful business purposes. You may not:
- Attempt to gain unauthorized access to the website, forms, servers, accounts or data.
- Upload malware, harmful code or material that violates law or third-party rights.
- Use automated means to scrape, overload, probe or disrupt the website.
- Misrepresent your identity, authority, business, products, processing history or transaction activity.
- Submit another person’s confidential or sensitive information without authorization.
6. Information and files you submit
You represent that you are authorized to provide information and files submitted to Selective Pay and that the information is accurate to the best of your knowledge. Do not submit full payment-card credentials, security codes, bank-login credentials or unnecessary consumer-sensitive data through ordinary website forms or email.
We may use submitted information to respond to your request, assess payment options, communicate with providers and perform the activities described in our Privacy Policy.
7. Intellectual property
The website design, text, graphics, logos, service descriptions and other content are owned by Selective Pay or used with permission and are protected by applicable intellectual-property laws. You may view and print reasonable portions for internal business evaluation, but you may not reproduce, distribute, modify or commercially exploit website content without written permission.
8. Third-party services and links
The website may reference or link to processors, gateways, banks, software providers, card networks, government resources and other third parties. Selective Pay does not control third-party sites or guarantee their availability, security, accuracy, products or practices. Third-party terms and privacy policies apply to their services.
9. Disclaimer of warranties
To the fullest extent permitted by law, the website and its content are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of accuracy, availability, merchantability, fitness for a particular purpose and non-infringement.
10. Limitation of liability
To the fullest extent permitted by law, Selective Pay and its owners, employees, agents and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising from website use, inability to use the website, reliance on content, third-party links or unauthorized access. Some jurisdictions do not allow certain limitations, so portions of this section may not apply.
11. Indemnification
You agree to indemnify and hold Selective Pay harmless from claims, liabilities, losses and expenses arising from your unlawful website use, breach of these terms, misrepresentation or violation of another person’s rights, to the extent permitted by law.
12. Governing law
Unless a separate written agreement states otherwise, these Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Any dispute relating solely to these website Terms will be brought in a court of competent jurisdiction serving Shelby County, Tennessee, unless applicable law requires another venue.
13. Changes and termination
We may modify these Terms, suspend website access or discontinue content at any time. Continued use after an updated effective date constitutes acceptance of the revised Terms.
